My 2021 Portfolio

Albeit a week late, I want to share my 2021 portfolio for documentation purposes and for whoever is interested. I aimed to balance risk in this portfolio with some growth names and legacy plays. Down to brass tacks, I am putting my money in the highest quality companies (in my view) across a diverse set of industries I find attractive. Some of these names are overvalued in the short term. However, I have realized I am not in the business of beating Wall Street’s pricing, but would rather hold high-quality companies that I believe will grow faster that the market in the long term. In other words, I am totally fine paying a short-term premium for growth and quality. Below is a summary of the portfolio and big picture reasoning behind each investment. I'm definitely open to any feedback.

The Company’s digital entertainment business, Garena, is a global game developer and publisher with a presence in Southeast Asia, Taiwan, and Latin America. Garena provides access to mobile and personal computer online games. Shopee provides users with a shopping environment that is supported by integrated payment, logistics, fulfillment, and other value-added services. SeaMonkey business is a digital financial services provider. SeaMonkey offers e-wallet services, payment processing, credit related digital financial offerings, and other financial products.
Waste Connections Inc. (NYSE: WCN) - Waste services company that provides non-hazardous waste collection, transfer, disposal and recycling services.

P.S. I have two other accounts - one with about 40 growth stocks and another with about 10 big names / ETFs. However, this portfolio has the largest allocation for 2021. My first time trying a more concentrated approach.

Pashinyan about pre-war negotiations and "avoiding" the war:

The idea that a flexible foreign policy could have avoided this war is being constantly circulated. Those [former officials] who believe in this thesis must answer at least one question: as a result of their "flexible" policy, why was it not possible to avoid the war of 2016, which was preceded by the unprecedented escalation of 2015 and 2014?
The "flexible" policy adopted by Armenia for many years led to the introduction of Russian proposals in January 2016, which proposed the return of 7 territories (5 + 2) without any legal status for Nagorno-Karabakh.
Why did Russia make such an offer? For one simple reason, as a result of Armenia's "flexible" policy, the Madrid process had come to a standstill because Artsakh could receive a Status outside Azerbaijan only with the consent of Azerbaijan.
It was obvious to Russia and everyone else that Azerbaijan would not agree to this, so it was necessary to find ways to break the deadlock.
And, by the way, if certain people claim that Armenia's foreign policy after 2018 was not sufficiently pro-Russian and this was the reason for the war, then why in the conditions of the "sufficiently pro-Russian" policy of 2016 were Russian proposals born and why did the April war take place?
There was only one way to prevent this war: return the regions and forget about Artsakh's legal status. Now, after the war is over and we know the outcome, the number of supporters of [giveaway of 7 regions] is growing. What they forget is that if we gave away the lands to avoid the war, we would have the same situation in Syunik borders. They used to accuse us of "selling lands" [he means the contradictory statements like Nikol sold the lands, and why didn't Nikol sell the lands earlier to avoid the war].
The biggest failure by the supporters of the "flexible policies" is that they spent years trying to avoid a war instead of preparing for it. Our biggest failure is that we weren't able to recover enough embezzled public property in the past 2.5 years to help us better prepare for the war.

What are the known businesses owned by some of the famous people you might have seen in the public square lately?

Vazgen Manukyan

20% share in Lorva Amrots Ltd which plans to operate two hydro-power plants on Dzoraget river. Manukyan purchased the shares in 2011 after being appointed by Serj as the head of the Public Council.
In 2015-2016, he owned 30% shares in Vanavka Group. In 2015-2017 he had 30% shares in Jermakunq Group. These companies extracted and bottled water. At the time, the director of these companies was charged with illegal bottling and causing ֏55 million in damages to the state. The corruption case was sent to the IRS, which terminated the investigation after "not finding a crime". The companies export the products mostly to Russia.
 

Arthur Vanetsyan

Vanetsyan is a poor boy, according to the public declarations database. But if you have time, take a look at the investigative report I covered in Ap29/2020 news, according to which Vanetsyan's family allegedly used offshore firms and owns mining shares. More on that here. Here is a Hetq investigative report.
Vanetsyan's father owns AV Group flower importing business. About a year ago, the police investigated several flower sellers near a stadium. An opposition outlet claimed that the sellers were "beaten and forced" to testify that Vanetsyan's father was running an underground business. This was never properly proven and the opposition's claim that Vanetsyan was about to be charged did not happen. The police confirmed that there was an investigation against several flower sellers. These flower sellers ended up hiring Vanetsyan's co-party-creator Arsen Babayan as a lawyer.
Vanetsyan's father owns 50% shares of A B Export oil import company that began operating in 2017. It was a minor player that quit the market in 2019. Vanetsyan's father also owns 60% of A B Trans transportation company.
In Nov/2019, CivilNet wrote about Arthur Vanetsyan's cousins' possible involvement with Zangezur Copper factory (massive business). The same offshore firm in Cyprus, which purchased Zangezur shares, was tied to Vanetsyan's cousins' another business in the same offshore.
Vanetsyan's cousins also own a Switzerland-based Exoil wholesale cooking oil and shipping company. In 2019 it had a revenue of $148 million (11 billion Rubles). The cousins don't do this business in Armenia.
Per 2019 registration, Arthur Vanetsyan himself owns one apartment, $10,000, and ֏1 million.
Media reported in May/2020 that Vanetsyan's cousin purchased a ֏300 million mansion in Yerevan, which was donated to then-new political party "Hayreniq", co-founded by Arthur Vanetsyan and Arsen Babayan (the guy who is accused of helping HHK to fabricate documents in 2018 to hijack the Constitutional Court by appointing HHK MP Hrayr Tovmasyan as a judge).
Arthur Vanetsyan's mother served as the chief of the personnel-management department in Serj and Pashinyan administrations, before quitting and working as Serj's aide.
Vanetsyan's wife owns Villa Montessori preschool in Yerevan. She also runs the Young Education Center Ltd.
 

ARF Ishkhan Saghatelyan

Pashinyan appointed Saghatelyan as Gegharquniq governor for a brief period after the 2018 revolution, when Pashinyan created a unity-government, represented by all political parties. The honeymoon soon ended and each party went their way.
Saghatelyan owns shares in i-mega Service Ltd. It's a tourism agency founded in 2006. It operates in Armenia, Artsakh, and Georgia.
Saghatelyan founded Navasar company and serves as director. It's owned by his father.
Saghatelyan family owns the Tsovasar hotel complex on Lake Sevan shores. It's 10,000 m2 (a hectare?).
As of 2018, Saghatelyan declared ownership of 8 pieces of land, 2 apartments, ֏18.5 million, $45,000, and €15,000.
Saghatelyan's father is the mayor of Gegharquniq's Geghamavan settlement. This municipality had recently sent a letter demanding Pashinyan's resignation.
Saghatelyan used to be a shareholder of Shiman Ltd which is no longer active.

The street demonstrations, organized by the former regime and its allies, continue. They demand Pashinyan's resignation and the appointment of their candidate Vazgen Manukyan as the Prime Minister for the duration of a year, after which they agree to hold new elections.
ARF leader Artsvik Minasyan said they don't plan to discuss snap elections with Pashinyan. "Right now, our only demand is Pashinyan's resignation. We demand SIS to immediately hold every criminal accountable". The demonstrators gathered in front of the SIS building to present the demands.

felony case: ex-HHK MP charged with armed attack on ex-IRS official

In August of this year, Russia extradited a former HHK MP Alraghatsi Lyovik to Armenia. He was wanted for allegedly burglarizing and shooting at a senior IRS official a decade ago. At the time, his case was "frozen". It was relaunched in 2018. (magic wand)
NSS says: suspect Lyovik, with the help of citizens AK and AN, organized an armed burglary against IRS Chief (?) Avetisyan in 2008.
AK was in the United States. In 2004, he stole $150,000 from jewelry shops in Los Angeles. He got caught but managed to flee to Armenia.
Once in Armenia, AK colluded with policeman AN to organize a similar criminal ring in Armenia.
[MP] Lyovik personally knew AK, and learned about their burglaries. Since Lyovik had bad relations with the IRS chief (victim), he decided to punish the victim by urging AK to burglarize his house. Lyovik revealed the plot to his brother-in-law, who happened to be the victim's personal aide. The latter gave all the personal habits and details about the victim to the burglars.

search operations are paused / the "welcome to Azerbaijan" sign

Azerbaijan received criticism for refusing to allow search teams to enter the Hadrut region yesterday. They also prevented UNESCO from checking the status of several Armenian cultural sights, after complaining that UNESCO was "biased" against Azerbaijan during the war.
HR Ombudsman: Any untrue information can not be a reason to disrupt the humanitarian process [referring to unconfirmed rumors on social media that Armenians opened fire at Azeris in Hadrut. An unofficial Iranian social media channel claims 3 Azeris were killed but due to an internal fight.]
The Human Rights Ombudsman also criticized the Azeri troops for installing a provocative "welcome to Azerbaijan" sign on part of a road that went under Azeri control near Syunik borders. The Ombudsman says it's meant to intimidate the locals.

Parliament votes: BHK MP Naira Zohrabyan's chairmanship

Context: BHK MP Naira Zohrabyan referred to the majority of Armenian voters as human trash *(or as she says: impure), and called for the establishment of forced re-education camps so people won't vote for a "wrong party" again. The ruling QP party launched a process to terminate her chairmanship in Parliamentary Human Rights Committee. Read yesterday's thread for more details.*
QP MP Arthur: the law states that the Parliament can appoint and terminate the chairman. The termination of this seat does not require the same procedures as in the case of MPs and Judges. Armenian Constitution states that in Armenia, human beings are of the highest value, and inalienable human dignity is the inseparable basis of their rights and freedoms. MP Zohrabyan's public conduct is against it. //
The law gives the second-largest political party the mandate to appoint the chairman of this particular Committee. BHK, being the second-largest party, said they wouldn't appoint a replacement if Zohrabyan is voted out.
QP MP Arthur: per rules, if BHK refuses to appoint a new candidate, the largest (QP) party will receive the mandate. //

Parliament votes: registering parties becomes easier / ideology instead of person / financial transparency

The goal of this reform is to have political parties that are more about ideology and less about an individual. The reform will boost internal democracy within parties; it will expand the powers of the Party Assembly.
Parties will be required to add more anonymous voting mechanisms.
The law also requires more financial transparency.
The required membership to register a party is lowered from 800 to 300.
Some of the public funding given to political parties will depend on the % of female members in the administrative boards.

Parliament votes: monthly fees towards soldiers' recovery are raised

Most workers pay a monthly 1000 Dram towards the Soldiers' Fund, which takes care of wounded soldiers and families of those who died. The govt found it necessary to raise the fee to cover thousands of new recipients. Here are the new fees and salary brackets:

The govt had adopted a law to ban smoking in public cafes and the public display of cigarettes in grocery shops. The ruling party wanted to delay parts of the bill that were set to go into effect in January, citing possible financial issues for businesses caused by the pandemic.

The Supreme Court protects or punishes judges. It also handles complaints. It's separate from the Constitutional Court.

Police and Nature Ministry have set up additional checkpoints as part of measures against whitefish poaching in Sevan. 24/7 monitoring on all alleys leading to the lake. They will also travel across markets to catch contraband whitefish.

...the rest should have access to other jobs. There is an opportunity now because many businesses operate remotely. Call Center workers don't have to visit an office. Businesses would rather pay less to hire a rural remote worker than more to hire someone in a Yerevan office.
The High Tech Ministry has an ongoing program to teach IT to 5,000 citizens. We must help workers to expand their skillset. We're working on a program to allow a worker to quit the job, not worry about the food on the table, and have enough time for education and learning new skills.

State regulators bust another price-fixing ring: fruit mafia

Yesterday, the Economic Competition Committee busted the egg industry's alleged price-fixing and anti-competitive practices. Today they say a similar collision was observed in the orange, mandarin, kiwi, lemon industry.
The companies Best Fruits, Art-Fruits, and Promout were slapped with a ֏39 million in penalties for colluding to raise the prices for the products that had an increased demand during the pandemic period.

Lenovo slapped for "anti-competitive practice"

The Economic Competition Committee heard a petition filed by Oazis Computer company against Lenovo. The latter was issued a warning for anti-competitive behavior.
Public Regulator: "Lenovo" company had the ability to influence the process of importing Lenovo computers to Armenia from non-EAEU trade bloc countries. "Lenovo" took steps to reduce the import of Lenovo computers from non-EAEU states, by discriminating against Oazis Computer importer. Lenovo is given a month to correct the issue and fix the requirement and standards related paperwork.

Matthew Davey — Chief Executive Officer and Director
Mr. Davey has over 25 years of experience within the digital media, sports, entertainment, leisure and gaming ecosystems, as well as experience in the public sector. He is an experienced public company executive officer and board member. He has served in executive management positions across the gaming technology arena. Over the course of Mr. Davey’s career, he oversaw more than ten mergers and acquisitions and over $1.2 billion in debt and equity capital raised to support the companies he has led.
Most recently, Mr. Davey was Chief Executive Officer of SG Digital, the Digital Division of Scientific Games Corp. (“Scientific Games”) (Nasdaq: SGMS). SG Digital was established following the purchase by Scientific Games of NYX Gaming Group Limited (“NYX”) (formerly TSXV: NYX), where Mr. Davey served as Chief Executive Officer and Director. The NYX acquisition provided Scientific Games with a vehicle to significantly accelerate the scale and breadth of its existing digital gaming business, including the strategic expansion into sports betting. In his capacity as Chief Executive Officer of NYX, Mr. Davey developed and implemented a corporate strategy that generated strong revenue growth. Mr. Davey shaped company strategy to focus on digital gaming supplier platforms and content that provided various gaming operators with the underlying gaming and sports betting systems for their online gaming business. In 2014, Mr. Davey oversaw the initial public offering of NYX, and his experience in the digital media, sports, entertainment, leisure and gaming industries helped NYX recognize momentum as a public company. After the public offering, from 2014 to 2018, Mr. Davey oversaw seven acquisitions which helped establish NYX as one of the fastest growing global B2B real-money digital gaming and sports betting platforms. These acquisitions included:
• OpenBet: In 2016, NYX completed the $385 million acquisition of OpenBet. This was one of the more complex and transformative acquisitions that Mr. Davey oversaw at NYX. Through securing co-investments from William Hill (LSE: WMH), Sky Betting & Gaming and The Stars Group (formerly Nasdaq: TSG, TSX: TSGI), Mr. Davey was able to get the acquisition from Vitruvian Partners completed successfully, winning the deal against much larger and well capitalized competitors. By combining two established and proven B2B betting and gaming suppliers, NYX was well positioned to provide customers with exciting player-driven solutions across all major product verticals and distribution channels. This allowed NYX to become the leading B2B omni-channel sportsbook platform in the market and the supplier to over 300 gaming operators globally with an extensive library of desktop and mobile game titles, including more than 700 on NYX platforms and more than 2,000 on the OpenBet platform.
• Cryptologic/Chartwell: In 2015, NYX completed the $119 million acquisition of Cryptologic and Chartwell. The acquisition provided NYX with more than 400 titles of additional leading gaming content, a broader customer base, and direct exposure to PokerStars and Intercasino, part of the Gamesys Group (LSE: GYS) — two of the world’s largest online casino offerings.
• OnGame: In 2014, NYX completed the distressed acquisition of OnGame, a premier poker content, platform and service provider. This acquisition provided NYX with one of the best poker products in the industry, access to several regulated jurisdictions, and a valuable talent pool that was instrumental in the growth of NYX. The addition of OnGame further established a path for NYX to continue its growth in both European and U.S. markets.
These acquisitions, together with meaningful organic growth, increased NYX’s revenue from $24 million in 2014 to $184 million annualized in 2017. During that time, Mr. Davey helped build NYX to have over 200 customers in the global gaming industry and a team of 1,000 employees. Mr. Davey’s success at NYX ultimately led to its sale to Scientific Games for $631 million in 2018.
Mr. Davey joined Next Gen Gaming, the predecessor to NYX, in 2000 as the Vice President of Technology, was appointed as Executive Director in 2003 and named Chief Executive Officer in 2005. Prior to that, he was the Senior Consultant for Access Systems, a company that specializes in the provision of back-end software for licensed online casinos. Prior to joining Access, Mr. Davey worked for the Northern Territory Government specializing in matters pertaining to the internet and e-commerce along with roles in the Department of Racing and Gaming. Mr. Davey received a Bachelor of Electrical & Electronic Engineering from Northern Territory University, Australia (also known as Charles Darwin University).
Robin Chhabra — President
Mr. Chhabra has been at the forefront of corporate acquisition activity within the digital gaming landscape for over a decade. His prior experience includes leading corporate strategy, M&A, and business development at two of the global leaders in the digital gaming industry, The Stars Group (“TSG”) and William Hill, and a leading supplier, Inspired Gaming Group (Nasdaq: INSE). Mr. Chhabra served on the Group Executive Committees of each of these companies. From 2017 to May 2020, Mr. Chhabra served as Chief Corporate Development Officer at TSG and, from 2019 to August 2020, he also served as the Chief Executive Officer of Fox Bet, a leading U.S. online gaming business which is the product of a landmark partnership between TSG and FOX Sports, a transaction which he led. During that period, Mr. Chhabra led several transactions which transformed TSG into the largest publicly listed online gambling operator in the world by both revenue and market capitalization and one of the most diversified from a product and geographic perspective with revenues of over $2.5 billion. Mr. Chhabra’s M&A experience is extensive and covers multiple global geographies across the digital gaming value chain and includes the following:
• TSG/Flutter Entertainment Merger: In 2019, Mr. Chhabra led the TSG M&A team that was responsible for TSG’s $12.2 billion merger with Flutter Entertainment (LSE: FLTR). The merger between TSG and Flutter Entertainment is the largest transaction in the digital gaming industry to date. The combination created the largest publicly listed online gaming company with approximately 13 million active customers and leading product offerings, which include sports betting, online casino, fantasy sports and poker. The combined entity includes some of the world’s most iconic digital gaming brands such as Fanduel, Fox Bet, Sky Bet, PaddyPower, Betfair, PokerStars and SportsBet. TSG/Flutter Entertainment is one of the most geographically diverse digital gaming and media companies with leading positions in the United States, United Kingdom, Australia, Ireland, Italy, Spain, Germany and Georgia.
• TSG/Sky Betting and Gaming (“SBG”): In 2018, Mr. Chhabra led the acquisition of SBG from CVC Capital Partners and Sky plc, Europe’s largest media company, in a transaction valued at $4.7 billion. At the time of the acquisition SBG was the largest mobile gambling operator in the United Kingdom and one of the fastest growing of the major operators having doubled its online market share in three years. The acquisition of SBG provided TSG with (a) greater revenue diversification, significantly enhanced expertise and exposure to sports betting just ahead of the judicial overturn of The Professional and Amateur Sports Protection Act of 1992 (PASPA) by the U.S. Supreme Court, (b) a leading position within the United Kingdom, the world’s largest regulated online gaming market, (c) improved products and technology as a result of the addition of SBG’s innovative casino and sports book offerings and a portfolio of popular mobile apps, and (d) expertise in deeply integrating sports betting with leading sports media companies, positioning TSG to create more engaging content, deliver faster growth and decrease customer acquisition costs.
• William Hill (LSE: WMH): At William Hill, from 2010 to 2017, Mr. Chhabra served as Group Director of Strategy and Corporate Development where he led several transactions which contributed to William Hill’s transformation from a land-based gambling operator in the United Kingdom to a leading online-led international business. Mr. Chhabra led William Hill’s entry into the U.S. sports betting and online lottery markets with the acquisition of four businesses, including the simultaneous acquisitions of three U.S. sportsbooks, Cal Neva, American Wagering and Brandywine Bookmaking, in 2011 for an aggregate purchase price of $55 million. These businesses ultimately led William Hill to achieve a leading position in the U.S. sports betting market with a market share of 24% in 2019. Additionally, Mr. Chhabra played a key role in structuring William Hill’s successful joint venture with PlayTech Plc (LSE: PTEC) in 2008. The combined entity created one of the largest online gambling businesses in Europe at the time of its formation and led to William Hill’s buyout of Playtech’s interest for $637 million in 2013. Prior to the transaction, William Hill had struggled in its attempt to establish a strong online gaming platform and a meaningful presence outside the United Kingdom.
Mr. Chhabra has also successfully completed four transactions worth over $1.2 billion in Australia, the world’s second largest regulated online gambling market, and various partnerships in Asia. Additionally, he completed several technology and media related transactions, including William Hill’s investment in NYX, where he worked with Mr. Davey on NYX’s transformational acquisition of OpenBet.
Prior to working in the gaming sector, Mr. Chhabra was an equities analyst and a management consultant. Mr. Chhabra received a Bachelor of Science in Economics from the London School of Economics and Political Science.
Eric Matejevich — Chief Financial Officer
Mr. Matejevich is a seasoned gaming executive with extensive experience in both the online gaming and traditional casino industries. From February to August 2019, he served as Trustee and Interim-Chief Executive Officer of Ocean Casino Resort (“Ocean”) (formerly Revel Casino, which had a construction cost of $2.4 billion) in Atlantic City, where he successfully led the management team through an ownership change and operational turnaround effort. Over the course of seven months, Mr. Matejevich managed to reduce the property’s weekly cash burn of $1.5 million to an annualized cash flow run rate in excess of $20 million.
Prior to Ocean, from 2016 to 2018, Mr. Matejevich served as the Chief Financial Officer of NYX. At NYX, he focused his efforts on integrating the company’s many acquisitions and multiple debt refinancings to simplify its capital structure and provided liquidity for growth initiatives. Additionally, Mr. Matejevich was instrumental to the executive team that sold NYX to Scientific Games for $631 million.
Prior to NYX, from 2004 to 2014, Mr. Matejevich was the Chief Financial Officer of Resorts International Holdings and later, from 2011, also the Chief Operating Officer of the Atlantic Club Casino, a property under the Resorts International Holdings umbrella — a Colony Capital (NYSE: CLNY) entity. As Chief Financial Officer, he provided managerial oversight for all finance functions for a six-property casino company with annual gaming revenue exceeding $1.3 billion, 10,000 gaming positions, 7,000 hotel rooms and over 11,000 staff members during his tenure. Mr. Matejevich led the transition effort to integrate a four-casino, $1.3 billion acquisition from Harrah’s Entertainment and Caesars Entertainment (Nasdaq: CZR). As Chief Operating Officer of Atlantic Club, he lobbied for and was successful in obtaining the first internet gaming legislation passed in the United States. The Atlantic Club was the sole New Jersey casino proponent of the legislation.
Prior to serving in various gaming positions, Mr. Matejevich was a Vice President of High Yield Research for Merrill Lynch, where he managed the corporate bond research effort for the gaming and leisure sectors and marketed high yield and other debt transactions totaling $4.8 billion. Mr. Matejevich received a Bachelor of Science in Economics from The Wharton School and a Bachelor of Arts in International Relations from The College of Arts and Sciences at the University of Pennsylvania.

Morris Bailey — Chairman
Over the past 10 years, Mr. Bailey has been a leader in turning around Atlantic City, as well as being among the first gaming executives to embrace online gaming and sports betting in the United States. In his efforts, Mr. Bailey partnered with two of the largest digital gaming companies in the world, PokerStars, part of the Stars Group, and DraftKings (Nasdaq: DKNG). In 2010, Mr. Bailey bought Resorts Atlantic City (“Resorts”) and initiated a comprehensive renovation which allowed for the property to be rebranded and repositioned. In 2012, Mr. Bailey signed an agreement with Mohegan Sun to manage the day-to-day operations of the casino. In addition to Mohegan Sun’s operational expertise and ability to reduce costs via economies of scale, Resorts gained access to their robust customer database. Soon thereafter, Mr. Bailey and his team focused on bringing online gaming to the property. In 2015, Resorts established a platform to engage in online gaming by partnering with PokerStars, now part of the $24 billion Flutter Entertainment, PLC (LSE: FLTR), to operate an online poker room in Atlantic City. In 2018, Resorts announced deals with DraftKings and SBTech to open a sportsbook on-property and online. For 2020 year-to-date, Resorts has performed in the top quartile in internet gross gaming revenue in New Jersey. Mr. Bailey’s efforts in New Jersey helped set the framework for expansion of online sports and gaming throughout the United States.
In addition to his gaming interests, Mr. Bailey has over 50 years of experience in all facets of real estate development, asset M&A, capital markets and operations and is the founder, Chief Executive Officer and Principal of JEMB Realty, a leading real estate development, investment and management organization. Mr. Bailey has notable investment experience within the energy, finance and telecommunications sectors through investments in the Astoria Energy Plant, Basis Investment Group and Xentris Wireless.
Tony Rodio — Director Nominee
Mr. Rodio has nearly four decades of experience in the gaming industry. Most recently, Mr. Rodio served as the Chief Executive Officer and director of Caesars Entertainment Corporation (“Caesars”) (Nasdaq: CZR), one of the world’s most diversified casino-entertainment providers and the most geographically diverse U.S. casino-entertainment company, from April 2019 until its acquisition by Eldorado Resorts, Inc. in July 2020. Mr. Rodio led Caesars through its $17.3 billion merger with Eldorado Resorts, one of the largest transactions in the gaming industry to date. Additionally, Mr. Rodio was instrumental to Caesars’ expansion into the digital gaming industry and oversaw the implementation of new digital segments such as its Scientific Games powered retail sportsbook solution that now operates in various states throughout the U.S. From October 2018 to May 2019, Mr. Rodio served as Chief Executive Officer of Affinity Gaming. Prior to Affinity Gaming, he served as President, Chief Executive Officer and a director of Tropicana Entertainment, Inc. (“Tropicana”) for over seven years, where he was responsible for the operation of eight casino properties in seven different jurisdictions. During his time at Tropicana, Mr. Rodio oversaw a period of unprecedented growth at the company, improving overall financial results with net revenue that increased more than 50% driven by both operational improvements and expansion across regional markets. Mr. Rodio led major capital projects, including the complete renovation of Tropicana Atlantic City and Tropicana’s move to land-based operations in Evansville, Indiana. Each of these initiatives, among others, generated substantial value for Tropicana. Ultimately, Mr. Rodio’s efforts at Tropicana led to its sale to Eldorado Resorts in 2018 for $1.85 billion. Prior to Tropicana, Mr. Rodio held a succession of executive positions in Atlantic City for casino brands, including Trump Marina Hotel Casino, Harrah’s Entertainment (predecessor to Caesars), the Atlantic City Hilton Casino Resort and Penn National Gaming. He has also served as a director of several professional and charitable organizations, including Atlantic City Alliance, United Way of Atlantic County, the Casino Associations of New Jersey and Indiana, AtlantiCare Charitable Foundation and the Lloyd D. Levenson Institute of Gaming Hospitality & Tourism. Mr. Rodio brings extensive knowledge of and experience in the gaming industry, operational expertise, and a demonstrated ability to effectively design and implement company strategy. Mr. Rodio received a Bachelor of Science from Rider University and a Master of Business Administration from Monmouth University.
Marlon Goldstein — Director Nominee
Mr. Goldstein is a licensed attorney with nearly 20 years of experience in the gaming space. He joined The Stars Group (Nasdaq: TSG)(TSX: TSGI) in January 2014 as its Executive Vice-President, Chief Legal Officer and Secretary until his retirement from the company in July 2020 following the merger of TSG with Flutter Entertainment, PLC (LSE: FLTR). Mr. Goldstein also previously served as the Executive Vice-President, Corporate Development and General Counsel of TSG. Mr. Goldstein was also the senior TSG executive based in the United States and was one of the primary architects of TSG’s strategic vision for its U.S.-facing business. During his tenure, TSG grew from an approximately $500 million market-cap company to an approximately $7 billion market-cap company through a combination of organic growth and strategic mergers and acquisitions. Mr. Goldstein participated in numerous M&A transactions and capital markets offerings at TSG, including several transformational transactions in the digital gaming industry. Notable transactions in which Mr. Goldstein was involved include:
• TSG/Flutter Merger: In 2019, TSG merged with Flutter for a $12.2 billion transaction value, the largest transaction in the digital gaming industry to date.
• TSG/Fox Bet Partnership: In 2019, TSG entered into a partnership with FOX Sports to create FOX Bet in the U.S., a leading U.S. online gaming business. Wall Street Research estimates an approximate $1.1 billion valuation for Fox Bet post-partnership with The Stars Group.
• TSG/Sky Betting & Gaming: In 2018, TSG acquired Sky Betting & Gaming, the largest mobile gambling operator in the United Kingdom at the time, for $4.7 billion.
• TSG/CrownBet and William Hill: In 2018, TSG simultaneously acquired CrownBet and William Hill, two Australian operators, for a total of $621 million in a multi-part transaction.
• TSG/PokerStars and Full Tilt Poker: In 2014, TSG acquired The Rational Group, which operated PokerStars and Full Tilt and was the world’s largest poker business, for $4.9 billion.
Through his ability to legally structure large and complex transactions, Mr. Goldstein was integral to TSG’s vision of becoming a full-service online gaming company. Additionally, he assisted in structuring TSG’s capital markets activity, which generated liquidity for acquisitions and strengthened its balance sheet.
Prior to joining TSG, Mr. Goldstein was a principal shareholder in the corporate and securities practice at the international law firm of Greenberg Traurig P.A., where he practiced for almost 13 years. Mr. Goldstein’s practice focused on corporate and securities matters, including mergers and acquisitions, securities offerings, and financing transactions. Additionally, Mr. Goldstein was the founder and co-chair of the firm’s Gaming Practice, a multi-disciplinary team of attorneys representing owners, operators and developers of gaming facilities, manufacturers and suppliers of gaming devices, investment banks and lenders in financing transactions, and Indian tribes in the development and financing of gaming facilities.
Mr. Goldstein brings experience and insight that we believe will be valuable to a potential initial business combination target business. Mr. Goldstein received a Bachelor of Business Administration with a concentration in accounting from Emory University and a Juris Doctorate with highest honors from the University of Florida, College of Law.
Sean Ryan — Director Nominee
Mr. Ryan is a digital media and technology operator with extensive global experience in online payments, e-commerce, marketplaces, mobile ad networks, digital games, enterprise collaboration platforms, blockchain, real money gaming and online music. Since 2014, Mr. Ryan has been serving as Vice President of Business Platform Partnerships at Facebook, Inc. (“Facebook”) (Nasdaq: FB), where he leads a more than 500 person global organization that manages the Payments, Commerce, Novi/Blockhain, Workplace and Audience Network businesses. Prior to his current role, Mr. Ryan was hired in 2011 as the Director of Games Partnerships to lead and grow the global Games business at Facebook. While the Director of Games Partnerships, Mr. Ryan focused on re-shaping Facebook’s games and monetization strategies to derive more value for Facebook, its users and its partners, including the addition of a Real Money Gaming offering in regulated markets. Mr. Ryan’s team helped accelerate a major trend in engagement through cross-platform games and therefore the opportunity to increase users through establishing games on multiple platforms. Prior to joining Facebook, Mr. Ryan created the new social and mobile games division at News Corp, an American multinational mass media corporation controlled by Rupert Murdoch. While at News Corp, Mr. Ryan led the acquisition of Making Fun, a San Francisco social-game start-up, that created News Corp’s games publishing division.
Before joining News Corp., Mr. Ryan founded multiple digital businesses such as Twofish, Meez, Open Wager and SingShot Media. Mr. Ryan co-founded Twofish in 2009, a virtual goods and services platform that provided developers with data analytics and insights for individual application’s digital economies. Twofish was later sold to online payments provider Live Gamer, where Mr. Ryan served on the board of directors. From 2005 to 2008, Mr. Ryan founded and led Meez.com, a social entertainment service combining avatars, web games and virtual worlds. The white label social casino gaming company Open Wager was spun out of Meez and was later sold to VGW Holdings, Mr. Ryan also co-founded SingShot Media, an online karaoke community, which was sold to Electronic Arts (Nasdaq: EA) and merged into its Sims division.
We believe Mr. Ryan’s experience will be valuable to a potential initial business combination target and would provide an expanded perspective on the digital gaming landscape. Mr. Ryan received a Bachelor of Arts from Columbia University and a Master of Business Administration from the University of California, Los Angeles.
Tom Roche — Director Nominee
Mr. Roche has more than 40 years of experience in the gaming industry as a regulator, advisor and independent auditor. Mr. Roche joined Ernst & Young (“EY”) as a partner in 2003 and opened its Las Vegas office. He was subsequently appointed as the Office Managing Partner and Global Gaming Industry Market Leader. In 2016, Mr. Roche relocated to the EY Hong Kong office to supervise the expansion of the EY Global Gaming Industry practice in the Asia Pacific region. Mr. Roche has been integral to numerous transactions that have shaped the current gaming landscape, including:
• Wynn Resorts (Nasdaq: WYNN) initial public offering: Mr. Roche was the lead partner on Wynn Resort’s initial public offering, which raised $450 million in 2002.
• Harrah’s Entertainment/Apollo Management Group & Texas Pacific Group: Mr. Roche headed the regulatory advisory services on the buyout of Harrah’s Entertainment, the world’s largest casino company at the time, for $17.1 billion.
• Dubai World/MGM Resorts: Mr. Roche headed the regulatory and due diligence advisory services to Dubai World in its approximately $5.1 billion investment in MGM. Dubai World bought 28.4 million MGM shares, or 9.5 percent of the casino operator, for $2.4 billion. It then invested $2.7 billion to acquire a 50% stake in MGM’s CityCenter Project, a $7.4 billion 76-acre Las Vegas development of hotels, condos and retail outlets.
• MGM Growth Properties (NYSE: MGP) initial public offering: Mr. Roche provided tax and structural transaction services to MGM Resorts in the creation of MGM Growth Properties, a publicly traded REIT engaged in the acquisition, ownership and leasing of large-scale destination entertainment and leisure resorts. MGM Growth Properties raised $1.05 billion in its 2016 initial public offering.
Mr. Roche also directed EY advisory services to boards and management teams for profit improvement and technology related initiatives. In addition, Mr. Roche provided advisory support to the American Gaming Association on several research projects, including those specifically related to sports betting, the revocation of The Professional and Amateur Sports Protection Act of 1992 (PASPA) and anti-money laundering best practices in the gaming industry. Equally, he has assisted government agencies in numerous international locations with enhancing their regulatory approach to governing the industry especially in the online gambling sector.

During his career, Roche has been involved in numerous public and private offerings of equity and debt securities. His background includes providing casino regulatory consulting services to casino licensees and to federal and state agencies including the National Indian Gaming Commission and the Nevada State Gaming Control Board, and industry associations such as the Nevada Resort Association and the American Gaming Association.

Yes. A vacation extravaganza all on the arm. Courtesy of the Hibou Timeshare Corporation. All it cost was your time and cooperation for a timeshare presentation. Simple enough yes? I wish I would have realized how much better a couple of overtimes would have served me, than taking myself to that horrid building.
I was living in Phoenix AZ with my parents. Still half way bullshitting my final semester at college. I’ve got to be honest, I was checked out. It was summer..I was going to graduate and I had these final two classes in the bag. I could have failed my finals and still walked out with a C. Yes but that kind of luxury came at a price. My social life was the casualty in all of this. While I did have a tight knit of pals, my attendance to social gatherings were...well..less than punctual. I was usually doing work for one of my advanced classes. If not that, then I was pulling a shift at either of my jobs. Yeah..you could say I gave up the glamour of late night pizzas, puking in my friends car and hooking up with a random ASU frat sluts for a heavier wallet...except I was paying everything out of my own pocket. My gas, insurance, cell, college. I wasn't exactly hiding cash in the walls. My parents worked hard but..never did make a living to give me and my siblings an extravagant lifestyle. We were grateful though.
So when I heard that AD of how I could get a long needed vacation to party central Las Vegas, all for watching some BS timeshare I knew I wasn’t going to buy into, you bet your ass off I made that call. The phone only rang once before I got an answer,
“Thank you for calling the Hibou Timeshare Corporation, how can we help you?” a voice rang through the phone. The voice sounded shrill and sickly.
“Hi, I'm calling about the vacation in Vegas? Says that you need people for a presen..”
“Yeessss.” the voice interrupted “The timeshare presentation, well...we would be so honored to have you”
“Uhh..yeah...anyway I’d like to sign up? Is there a form online or do you take the information here?” I said..now feeling a bit tense.
“Well I'll tell you what...pack your things for the vacation. When we are finished presenting..we can send you on our way to Vegas. We just need..a bit of your time.”
That was that. He gave me the address, date and time of the meeting. The area was in a place called Amargosa Valley in Nevada. Luckily it was just about an hour away from Vegas. Before we parted ways on the phone, the operator said something...he said something that should have been a MAJOR red flag.
“Okay then, you’re all set...we will see you July 28th at 4:30pm. Not a moment later” he laughed
“Oh..and..one more thing, if you have some more specimens like yourself that might be interested in the free vacation...bring them along. They’ll all receive the same prize and you will receive $100 cash for every person you bring. We look forward to presenting you, Austin. Good day.”
I never gave him my name.
Still, my young dumb brain didn’t hear anything past $100 dollars. So I rounded up a few of my best pals and we were set to meet the reps over at the timeshare. The days leading up to the trip I couldn't get a hold of myself. It was so exciting. My first real vacation in...i couldn't remember how long. I longed for this type of adventure with my friends. We packed a truck full and set off to Amargosa Valley.
I brought Luke, Larry and Adam. We’d been friends since the 3rd grade. We all moved to AZ from different parts of the country that summer, so being new kids we naturally ganged up together. Luke was from Texas..we called him Tex. Real big guy. Loved to work out but definitely was a bit of a boozebag. Larry was from Ohio. Quiet in public but probably the loudest of us all. Always had some political conspiracy to talk about. Then Adam..Adam was interesting. He was from Florida...or Georgia...or Nebraska. Adam never could keep it straight about where he was from. He always had some sort of story and backtrack about where he’d come from. I personally thought he was probably from another part of AZ and just wanted to fit in...so we humor him and let him be the nomad of our group. I myself was originally from California...things got pricey so we made the move to blistering AZ.
That was my crew. No matter how long it had been, we were always as tight as ever. The ride was filled with laughing and gags. Stops at fast food joints and all around bullshitting. Yes it was an amazing time just driving there, we couldn't wait to get on with the meeting and head down to Boozeville USA. As we approached our destination...something felt off. Amargosa Valley had been a bit of a ghost town the whole drive. A gas station here. A small outlet there...but otherwise unpopulated. When we hit our destination we were met by a Chrome building. Smack center in the middle of the highway. As we parked at the only stall..we all took a look at each other.
“Well this is...odd.” Luke said plainly.
“Yeah man...are we really going there?” Adam shook out. Barely containing his fear.
“Look guys, I know it looks weird. This place is really clean and bright in the middle of a dusty desert but c’mon. It's like what...an hour of our time? Within 2 hours we’ll be on our way to the dopest guys trip ever.” I said...selfishly.
The guys all agreed. We got out, locked the car up and walked in through the sliding glass doors. The cool air hit us like a wave. Each of us breathing in the refreshingly cold air. The inside of this lobby..was also immaculate. Chrome everywhere. Right down to the sofas and chairs. A woman came from around the front desk.
“You must be here to be presented. I see you brought more specimens! What a joy! Will you gentlemen please follow me?” She said.
Specimens. Ugh. Her tone. That word still makes me shutter.
Me and the boys looked at each other..all with the same should we do it look on our faces. Maybe it was the cold air enticing our sweaty brows. We’d been a poorly AC’D truck for a couple hours. Or maybe it was the ice cold drinks she presented in front of us. Whatever the case we followed her through a door behind the front desk and were met with a grand auditorium. It looked as if it could hold maybe 50 people. And all they had was me and my knucklehead friends. As we sat down, sucking down sodas and waters, a mans voice came over the intercom.
“Welcome my friends to the Hibou Timeshare Corporation presentation. Today you will be examining the lifetime of these vessels. Determine whether or not you think they are a smart investment and make a choice if you would like to partake!” I recognized the voice. It was the same shrill tone that I set up the appointment with.
“Now my dear friends, it's time to sit back with your favorite drink...and listen..”
With that, a large projector screen came down from the celine. An old timey countdown began winding down.
BEEP3...BEEP2...BEEP1
From what I can remember, I heard the screams of something...unnatural. A scream so high tone that I felt as if my ears would burst with blood. I tried clasping my hands over my ears but to no avail. The screams were too overpowering. As soon as it started, I passed out.
I awoke looking at the lights on the celine. Unable to sit up. I could tell I was bareass naked on a metal table. I moved my head, the little that i could to see Adam next to me on another table. Naked as the day we were born. He was encased in what looked like a light purple energy field. Looking more in depth, I too had this field in front of me. Before I could speak the tables raised up. Bringing me upright. Bringing me face to face with Tex. To the left of me..Larry. “My friends, I present to you: Terramite 99-0 specimens.” a voice rang out. The same voice from the auditorium.
“They are..of the male species. Strong. Cunning and above all loyal...if raised properly.”
“HEY, you bastards. WTF is this! LET US GO!” Tex cried out. Before he could continue, the energy field tightened around him. Tex let out a scream that will haunt me for the rest of my life. The smell of burned flesh and hair filled the area. I would have puked had the horror of seeing my best friend being burned alive wasn't keeping my attention away from the smell. When the field lifted, Tex was stripped down to the muscle fibers. Hair burned down to the scalp. Tex convulsed until he finally relaxed into a hanging position on the table.
“Now see..specimen is now sedated. Reduced to a weaker position. With the energy field keeping him contained and the Auto-Reversal Time Warp engaging, we can have this specimen back into working shape immediately.”
There was an electrical hum in the air. As before my eyes, Tex’s skin began to heal. His hair growing back. And all burns subsiding. It was as if nothing had happened to him. He still hung in limbo, but we could see the breath return to his chest.The rest of us let out bits of gasps of horror and astonishment.
I could see Adam crying a bit in the corner of my eyes.
A figure appeared from behind me. A tentacle graced my shoulder, not even phased by the force field. I caught sight of the creature. It stood around 7foot tall. Skin that looked human but a head that was elongated. No nose. And eyes that were black as coal. It had two tentacles for hands. I could not see its feet, as it was covered by a long gown.
Larry screamed in anger. “Your...your...a...a…” he managed to get out before the creature silenced him.
“Shhhh….I am...a salesman is all. Now my friends I will demonstrate the life cycle of the Terramite 99-0’s.”
With that, Larry's forcefield began to hum. Right before my eyes Larry began to get...smaller. Not in stature necessarily, no, but in age. He went from being a young man..to a teenager..to that kid i met in 3rd grade..to an infant. His cries were extremely loud. Unaware of the horrors around him. At that moment I could hear Adam's field begin to hum.
“Please no! Please!” Adam begged.
“If you will direct your attention to our third pod:”
Adam then began to scream as he went from a young man..to middle aged man...to retirement age and finally...to a decrepit old man. Hair as white as snow. Wrinkled beyond recognition. Each breath looking to nearly be his last.
“From birth to the declining ages of 70 and beyond the Auto-Reversal Time Warp pods are the perfect tool to use when training your armys, your children, your slaves. Imagine...never having to replace workers. Never worrying if your training methods or punishments might go too far. Never losing a prisoner to death. And though the Terramites look to be difficult to control, I can guarantee their cooperation once put through the proper training.” The creature said. Full of glee in his dead eyes.
Between the crying of baby larry and incoherent babbling of old man adam, the room felt like it was spinning. Just when I thought things couldn't get any stranger, the rest of the lights came to life. The room we were in were surrounded by seats, similar to the ones we sat in. However, sitting in these seats were ghastly creatures of different varieties. Some looked like the salesman creature. Others were ogreish. Large bodied creatures covered in a film of slime. Some of them even looked human. It was the eyes though...their eyes were a teal color with white pupils. Many many creatures looked up me and my friends. All of them began clapping their hands and cheering in unison. The claps were deafening. The cries of the baby felt as if a baseball bat was ramming my head. Adams babbling was terrifyingly disturbing. And Tex...hanging there. Eyes rolled back into his skull. I couldnt imagine the hell he began to feel. At this point I wondered what awaited my fate. The clapping stopped abruptly.
“Oh...Austin...yes, well if you want to know what fate awaits you just shut your eyes. Shut your eyes and quietly count back from 3.” the creature said...was he reading my mind?
Suddenly the urge to close my eyes overtook me. Almost as if I had no choice, I began counting down. 3….2….1….
Everything went black. I wasn't sure if i was alive or dead...or somewhere in between. I saw nothing but black for what felt like a lifetime. And in an instant...I heard that same shrill scream. Only this time I could not cover my ears. I couldn’t feel my body but I felt an unimaginable amount of pain. As the scream grew to its peak, I slammed my eyes open. Trying to catch my breath.
I was back in the car...we were all back in the car. The engine was on. Shitty ac blasting. The others were still out. I sat up in my seat. Not wanting to move too suddenly. The sun was beating down on us. I looked over at the time on the dash…July 28th 4:34 pm. I reached into my shirt pocket and I found several vouchers for the MGM hotels in Vegas along with $300 dollars. I also found a card that simply read “Hibou Timeshare Corp. would like to thank you for a bit of your time”
The boys came too. All feeling rather groggy.
“We all fell asleep huh?” Adam laughed. “We here?”
They didn't remember a thing. Not one thing. Not going in...not the reception area...not the freaky timeshare presentation...not one bit. I lied...i told them that while they were sound asleep, we arrived a little earlier than expected. The presenter had an emergency and left our vouchers at the front desk and apologized profusely.
“Wow, what a gentleman!” Tex laughed. “We definitely owe it to him to sit through another timeshare, probono.” Larry added.
I think it's safe to say that I will not be returning to this or any other timeshare. As I drove away I could see the building disappear in the rear view mirror.
So if you’re traveling deep within the southwest of the United States and hear an ad for a free vacation that's too good to be true...do yourself a favor..turn off the radio, call into work and ask for some overtime..because nothing is ever given for free.

Or maybe it was the ice cold drinks she presented in front of us. Whatever the case we followed her through a door behind the front desk and were met with a grand auditorium. It looked as if it could hold maybe 50 people. And all they had was me and my knucklehead friends. As we sat down, sucking down sodas and waters, a mans voice came over the intercom.
“Welcome my friends to the Hibou Timeshare Corporation presentation. Today you will be examining the lifetime of these vessels. Determine whether or not you think they are a smart investment and make a choice if you would like to partake!” I recognized the voice. It was the same shrill tone that I set up the appointment with.
“Now my dear friends, it's time to sit back with your favorite drink...and listen..”
With that, a large projector screen came down from the celine. An old timey countdown began winding down.
BEEP3...BEEP2...BEEP1
From what I can remember, I heard the screams of something...unnatural. A scream so high tone that I felt as if my ears would burst with blood. I tried clasping my hands over my ears but to no avail. The screams were too overpowering. As soon as it started, I passed out.
I awoke looking at the lights on the celine. Unable to sit up. I could tell I was bareass naked on a metal table. I moved my head, the little that i could to see Adam next to me on another table. Naked as the day we were born. He was encased in what looked like a light purple energy field. Looking more in depth, I too had this field in front of me. Before I could speak the tables raised up. Bringing me upright. Bringing me face to face with Tex. To the left of me..Larry. “My friends, I present to you: Terramite 99-0 specimens.” a voice rang out. The same voice from the auditorium.
“They are..of the male species. Strong. Cunning and above all loyal...if raised properly.”
“HEY, you bastards. WTF is this! LET US GO!” Tex cried out. Before he could continue, the energy field tightened around him. Tex let out a scream that will haunt me for the rest of my life. The smell of burned flesh and hair filled the area. I would have puked had the horror of seeing my best friend being burned alive wasn't keeping my attention away from the smell. When the field lifted, Tex was stripped down to the muscle fibers. Hair burned down to the scalp. Tex convulsed until he finally relaxed into a hanging position on the table.
“Now see..specimen is now sedated. Relaxed into a weaker position. With the energy field keeping him contained and the Auto-Reversal Time Warp engaging, we can have this specimen back into working shape immediately.”
There was an electrical hum in the air. As before my eyes, Tex’s skin began to heal. His hair growing back. And all burns subsiding. It was as if nothing had happened to him. He still hung in limbo, but we could see the breath return to his chest.The rest of us let out bits of gasps of horror and astonishment.
I could see Adam crying a bit in the corner of my eyes.
A figure appeared from behind me. A tentacle graced my shoulder, not even phased by the force field. I caught sight of the creature. It stood around 7foot tall. Skin that looked human but a head that was elongated. No nose. And eyes that were black as coal. It had two tentacles for hands. I could not see its feet, as it was covered by a long gown.
Larry screamed in anger. “Your...your...a...a…” he managed to get out before the creature silenced him.
“Shhhh….I am...a salesman is all. Now my friends I will demonstrate the life cycle of the Terramite 99-0’s.”
With that, Larry's forcefield began to hum. Right before my eyes Larry began to get...smaller. Not in stature necessarily, no, but in age. He went from being a young man..to a teenager..to that kid i met in 3rd grade..to an infant. His cries were extremely loud. Unaware of the horrors around him. At that moment I could hear Adam's field begin to hum.
“Please no! Please!” Adam begged.
“If you will direct your attention to our third pod:”
Adam then began to scream as he went from a young man..to middle aged man...to retirement age and finally...to a decrepit old man. Hair as white as snow. Wrinkled beyond recognition. Each breath looking to nearly be his last.
“From birth to the declining ages of 70 to 100 Terran years…the Auto-Reversal Time Warp pods are the perfect tool to use when training your armys, your children, your slaves. Imagine...never having to replace workers. Never worrying if your training methods or punishments might go too far. Never losing a prisoner to death.” The creature said. Full of glee in his dead eyes.
Between the crying of baby larry and incoherent babbling of old man adam, the room felt like it was spinning. Just when I thought things couldn't get any stranger, the rest of the lights came to life. The room we were in were surrounded by seats, similar to the ones we sat in. However, sitting in these seats were ghastly creatures of different varieties. Some looked like the salesman creature. Others were ogreish. Large bodied creatures covered in a film of slime. Some of them even looked human. It was the eyes though...their eyes were a teal color with white pupils. Many many creatures looked up me and my friends. All of them began clapping their hands in unison. The claps were deafening. The cries of the baby felt as if a baseball bat was connecting with my head every second. Adams babbling was terrifyingly disturbing. And Tex...hanging there. Eyes rolled back into his skull. I couldnt imagine the hell he began to feel. At this point I wondered what awaited my fate. The clapping stopped abruptly.
“Oh...Austin...yes, well if you want to know what fate awaits you just shut your eyes. Shut your eyes and quietly count back from 3.” the creature said...was he reading my mind?
Suddenly the urge to close my eyes overtook me. Almost as if I had no choice, I began counting down. 3….2….1….
Everything went black. I wasn't sure if i was alive or dead...or somewhere in between. I saw nothing but black for what felt like a lifetime. And in an instant...I heard that same shrill scream. Only this time I could not cover my ears. I couldn’t feel my body but I felt an unimaginable amount of pain. As the scream grew to its peak, I slammed my eyes open. Trying to catch my breath.
I was back in the car...we were all back in the car. The engine was on. Shitty ac blasting. The others were still out. I sat up in my seat. Not wanting to move too suddenly. The sun was beating down on us. I looked over at the time on the dash…July 28th 4:34 pm. I reached into my shirt pocket and I found several vouchers for the MGM hotels in Vegas along with $300 dollars. I also found a card that simply read “Hibou Timeshare Corp. would like to thank you for a bit of your time”
The boys came too. All feeling rather groggy.
“We all fell asleep huh?” Adam laughed. “We here?”
They didn't remember a thing. Not one thing. Not going in...not the reception area...not the freaky timeshare presentation...not one bit. I lied...i told them that while they were sound asleep, we arrived a little earlier than expected. The presenter had an emergency and left our vouchers at the front desk and apologized profusely.
“Wow, what a gentleman!” Tex laughed. “We definitely owe it to him to sit through another timeshare, probono.” Larry added.
I think it's safe to say that I will not be returning to this or any other timeshare. As I drove away I could see the building disappear in the rear view mirror.
So if you’re traveling deep within the southwest of the United States and hear an ad for a free vacation that's too good to be true...do yourself a favor..turn off the radio, call into work and ask for some overtime..because nothing is ever given for free.

Boom...and we’re in Week 6 of the college football season (Corona Edition), even the SEC came to play. We will take a look at some of our consensus plays and provide some opinion based insight to put together some ATS winners.
For starters we will look at the Gators/Aggies matchup. The line has fluctuated from 7 to 6.5 and currently at Caesars Palace the spread is Florida Gators -6.5 -115 and Texas A&M +6.5 -105, linemakers are playing with the juice, moving it around a bit and charging to get the dog, they must think they have the number nailed at a touchdown spread and MAC is looking to beat that number!
Florida Gators vs Texas A&M Aggies
The Florida Gators have come out of the gate hot, QB Kyle Trask throwing 10 TD passes through their opening two games of the season. They have busted open the ATS record, going 8-3-1 through their last 12 games a legit 2-0 and ranked No. 4 in the AP poll after Georgia took the lead ahead of them following the Bulldogs win over Auburn.
The Aggies are 1-1 to start the season and they have a weak secondary that should get destroyed by the Gators offense. The MAC tends to stay away from Conference games because odds are usually tight & tough, it can be hard to find a solid pick, but our consensus groups have the Gators as a move and with the spread less than a TD this game has value

Pittsburgh Panthers vs Boston College Eagles
If you look at the recent trends for the Panthers, you see a team that is just 1-5-1 ATS in their last 7 games. That being said, the Panthers have been winning their games outright, they are 3-1 in the early going of the season, they just can’t get a cover, it’s pathetic, oddsmakers are cashing in on Pitt.
The Eagles have been great ATS, covering in 8 of their last 10, but as far as this game, our information is telling us to stay away. Boston College defense has nothing to brag about, unable to stop 3rd conversions makes a case for betting the over, the offense can’t run the ball, averaging 2.4 yards a carry, and they are last in the ACC in both of these categories. Jurkovec has thrown 2 picks, one in the end zone and the Heels took it home for a meaningless win, one good thing is they don’t lose fumbles and are +5 in turnover margin. MAC has Panthers to win this one, the line is -6 and has moved back and forth from 6.5 and 6, but most importantly MAC sees action coming in on the total and is moving on the over, opening at 46 and currently set at 44 this should be an easy 55-60 point game. The trends seems to be the under but going against the grain is why The MAC is one of the most recognized sports gamblers in the industry.

Given how dominant the Tigers have been in the ACC over the past few years, it is usually a bad idea to bet against them.The odds makers are giving them too much respect, our scouts are saying the line isn’t this high because of public money, it’s an inflated spread and could be a suckers bet. Let’s consider the fact that the Tigers have failed to cover this season and are now on a run of failing to cover in 4 straight games. MAC says play the ML hedge if laying the points, be smart and use bankroll management.
The Hurricanes have not had a lot of joy against Clemson in recent years, but are 5-1 ATS in their last 6 versus conference foes. With 43.3 points scored this season they are ranked #7, this could be another over play, though with the total set at 62, we will have to wait to see some line movement before placing any action on it.MAC has no apprehension when it comes to taking a shot and going against the grain, it’s what makes him a Vegas specialty. Take Miami to cover, take them, take the points, and take it to the bank.

A Thorough Review of Robins AFB
Hello Everyone,
This is my review of Robins AFB after living here for the past 5 years. Hope you find this helpful!
If you’re familiar with using Google Map/GPS to help you get to a military base, it can be difficult to find an open gate without your GPS telling you to turn/U-Turn into a closed gate!
Put in your GPS, “Martin’s BBQ, 102 S Armed Forces Blvd, Warner Robins, GA 31088.” It will take you to Watson Blvd and to the only 24hr gate; Watson Gate. This is also the gate to get visitor passes for your friends/family.
The other gate you’ll be using a lot is Russell gate which is connected to Russell Pkwy. I’ll be assuming you’re driving from the Atlanta airport, so south of Highway 247. GPS the “Museum of Aviation” and about 100 yards before you arrive at the MoA, exit right to Russell Gate. Note, Russell Gate closes at 2400 (0100 on Fri and Sat only) and opens up at 0430 on weekdays and 0500 on the weekends. Hours subject to change, check online for more specific hours!
Green Gate and MLK Gate are two other notable gates mainly for inbound and outbound traffic in the morning rush/afternoon rush.

Warner Robins - The main city outside of Robins AFB is Warner Robins. WR will be referenced a lot while you are here at Robins. WR can be summed up in a few words as a small-sized southern city with churches and chain restaurants. The city consists of two main counties; Houston (pronounced “House Ton” and not “Hugh’s Town.” People will correct you on this!) and Peach County.
Macon - Located about 15 miles north of Robins AFB/Warner Robins. Macon has a lot of history and is nicknamed the “Heart of Georgia” because it is in the center of GA. Honestly IMO, Macon is pretty ghetto… What happened to Macon is similar to Detroit.. Both places were once thriving industrial cities until their main asset collapsed. You’ll see a lot of abandoned buildings when you drive to downtown Macon. It is pretty sad. There are some nice areas in Macon to visit though, like around Zebulon Road. I’d still recommend going downtown to eat at some nice mom and pop stores. Make sure to never go alone, however.
Savannah - Located about 2 ½ hours to 3 hours South-East/East of Robins. It is the #1 “Most Haunted” city in the United States apparently. It is really fun to visit. Eat seafood and go on some ghost tours while you’re there. The #3 Ice Cream Shop in the U.S. is in Savannah, Leopolds, if you love ice cream. The vibe can be described as a cross between Florida and South Carolina and “hipster-ish” thanks to SCAD there. Be prepared to walk a lot. Free parking on the weekends! Almost every store gives military discounts since there is an Army Base nearby. Give yourself 3 days and 2 nights to really have a grasp and enjoy Savannah.
Atlanta - The capital of GA and the place to be! It is located about 100 miles north of Robins which takes about 2 ½ hours to drive, thanks to the good ol’ Atlanta traffic! There is an abundant amount of things to do and sightsee that I will talk about later in this post.
Owen’s Boarding House is one of my favorite mom and pop stores in WR and it's really close to the base for a quick lunch! Owen’s is an all-you-can-eat lunch-only southern restaurant, dig in those chicken wings! It’s about $10.50, cash only.
The Rookery, in downtown Macon, is one you’ll hear a lot of. It is an old southern/burger joint. The store has a fancy dining upstairs; The Dovetail, if you’re into that.
Martin's BBQ, I referenced it earlier as a good point to locate Robins AFB but it is also a popular BBQ!
WR really loves Mexican food, and so do I! Taco Shed is next to the Museum of Aviation, it is American Mexican food. Salsa’s which is a dining American Mexican restaurant. My Grandma’s Empanadas and Luis for more authentic Mexican food. Cuban Cafe sells pretty good Cuban food. Tacos and More, I wasn't a huge fan of it but one of the comments mentioned it and it does sell $1 tacos, try it out!
Wasn't a fan of Saigon Noodle in WR, its close to base, which is why I believe their portions are small for a Vietnamese place. Plus, the Pho soup has MSG!
Pho Saigon in Macon is great, however. Good portions, and no MSG in their soups!
Stir King is a nice American Chinese place which gives good portions. I am not a fan of the “Japanese” food in WR, better go to Atlanta for real sushi and ramen. Also… screw all of WR’s Hibachi restaurants.
I did not mention any corporate/franchise restaurants since you may already be familiar with them and only want to mention the mom n pop stores.
They’re also “Senior Airmen” dorms for Airmen who’ve stayed longer in the dorms. Essentially, a SrA dorm is a larger dorm with no suite-mate and no kitchen. If the dorms have no availability, Airmen with the longest TOS (Time-on-Station) will be allowed to leave early. You can ask regularly if the dorms are full and maybe you can leave ahead of others.
Certain circumstances can allow you to leave the dorms early such as being a mature age (like over the age of 30) or being married but your spouse is currently living elsewhere due to service, school, etc.
My personal experience: I lived in the dorms and I would describe the overall experience as “okay.” It can be hit or miss with a good suite-mate and your dorm might have mold in them... I didn’t though. Typically activities of dorm airmen include going clubbing, the gym, and/or playing video games. Overall, I enjoyed living in the dorms because of the access to network with other Airmen, not cooking my own food, because of the DEFAC, and friends were just close by.
I lived in Warner Robins after I moved off base from the dorms, and the area was okay. Generally speaking, the further you live off base, (and this goes for all military bases) the safer the environment becomes.
If you’re wanting to live in a nicer area and/or have kids. Look into living in cities Kathleen and/or Bonaire. The area and school system (like Houston County High School) is much nicer than the rest of the public school system.
Cities like Perry and Bryon have far commutes of at least 20 minutes but can be described as “rural” if like not knowing your neighbors.
IMO, please do yourself a favor and do not live off or near Green St. (Hint. It’s right off Green St Gate!) I would also not recommend living in Macon. Imma be real and say Macon is pretty ghetto in most parts of the city (unless you live off Zebulon Rd) and the commute to work is going to be at least 20 mins to work. Edit: Forgot to mention Riverside in Macon. It is still relatively new and the area is nice and so are the neighborhoods. The Riverside Mall is an outdoor mall, very safe and clean. Don't go to the Macon Mall, however.
Essentially, South-West of Warner Robins is the best place to live. Where Feagin Mill Rd and Highway 96 is.
Off Base Housing community is called Huntington Chase, it’s ghetto from what my co-workers have told me as they’ve gunshots go off frequently and cars are breaking into. Off-Base housing is open to civilians and not just military.
Coca Cola Factory - Entry is free for military (does not include dependents) and it is a nice place to go on a date. Try flavors of coke from around the world!
Aquarium - IMO, the experience felt it was geared towards children, I would only pay during special military days because $33 is not worth the visit!
Atlanta Zoo - Never been but it is another sight seeing opportunity.
Dragon Con - A.K.A. “Comic Con of the East.” Where 80k of your “best friends” come meet in a 4-day comic/pop culture/movie/ convention which spans across 5 hotels! Most people get turned off when they hear “comic” as they associate this con with sweaty nerds… Well, they aren’t wrong! But I can guarantee you’ll be missing out if you did not attend this con at least once while you’re at Robins. Even if you don’t love comics, movies, anime, or pop culture (who doesn’t like at least one of the 4?) you can open drink in public for the duration of the con! It is always during Labor Day weekend every year. And if you don’t mind paying for the price of a host hotel, they’re worth it. Good luck because they get booked fast!
Anime Weekend Atlanta - An Anime Con that specializes on having Japanese pop/rock stars to play in the con!
MomoCon - An Anime Con that specializes in 24hour gaming/arcade gaming for the entire weekend!
Ponce City Market - A hipster food and shopping market that used an abandoned factory as their shopping district. Please do yourself a favor and park in Ponce City Market’s parking and not try to get “free” parking from the plaza across the street. You’ll get a “boot” on your car when you come back and have to pay a fine… Ask me how I figured that out...
Caffeine and Octane - A huge car meet in Atlanta that meets regularly.
Mardi Gras: The drive to Louisiana is about 6 hours but I know some Airmen who made the trip to be there for Mardi Gras.
Florida: The drive will take at least 3 hours to cross the Florida border. Florida is fun, do I need to say more?
Professional Sports: Altanta Hawks, Braves, and Falcons! Look for special discounts near Veterans days like Hoops for Troops. The Falco
Don’t forget to check the ITT office for free or reduce price activities for “single Airmen!” Seriously, I’ve gone skydiving, deep sea fishing, paintballing, etc for free or reduced prices! 50% of Disney Park passes!
Obviously, there are more things to do than the list I provided, DYOR and maybe you’ll find a place and/or hidden gem you’ll love!
A lot of your co-workers will most likely talk crap about Robins. Well, they’re probably the same salty Airmen who put Robins AFB, 9th, on their dream sheet and how trying to figure out how Eglin or Macdill wasn’t chosen even though it was #1 and #3 on their dream sheet. But even if they aren’t those types of Airmen.... Robins is one of those “what you make of it bases.”
You. Yes you, Airman, have to create your own experiences and be willing to leave your dorm and not be a dorm rat to make memories at Robins. This base isn’t centrally located to anything known for “fun” like all the bases in San Antonio, all Florida bases, Travis, Keesler and the casinos, etc. Even that hot A1C still has to make an effort to venture out and explore new roads and can’t rely on other people to do it for them.
“Robins-ism.” For whatever reason, “Robin-ism” is basically AFIs and the proper order of how to do things in the Air Force... does not apply the same for Robins. You’ll hear a lot of “that’s not how we did that at my last base.” People say it's because the amount of civilians outnumbers the military 3:1. And with that, if the civilians don’t like the AFI/protocol, it will slowly but surely die out and a “Robin-ism” method of how to do things soon takes over. I am not blaming the large civilian population, it is just what Airmen accept is the reason why some people on this base can be lazy at times.
Allergies. If you never experienced allergies or have in the past. Well, Warner Robins has a surprise for you... Seriously, you could potentially suffer from bad allergies.

Warner Robins - The main city outside of Robins AFB is Warner Robins. WR will be referenced a lot while you are here at Robins. WR can be summed up in a few words as a small-sized southern city with churches and chain restaurants. The city consists of two main counties; Houston (pronounced “House Ton” and not “Hugh’s Town.” People will correct you on this!) and Peach County.
Macon - Located about 15 miles north of Robins AFB/Warner Robins. Macon has a lot of history and is nicknamed the “Heart of Georgia” because it is in the center of GA. Honestly IMO, Macon is pretty ghetto… What happened to Macon is similar to Detroit.. Both places were once thriving industrial cities until their main asset collapsed. You’ll see a lot of abandoned buildings when you drive to downtown Macon. It is pretty sad. There are some nice areas in Macon to visit though, like around Zebulon Road. I’d still recommend going downtown to eat at some nice mom and pop stores. Make sure to never go alone, however.
Savannah - Located about 2 ½ hours to 3 hours South-East/East of Robins. It is the #1 “Most Haunted” city in the United States apparently. It is really fun to visit. Eat seafood and go on some ghost tours while you’re there. The #3 Ice Cream Shop in the U.S. is in Savannah, Leopolds, if you love ice cream. The vibe can be described as a cross between Florida and South Carolina and “hipster-ish” thanks to SCAD there. Be prepared to walk a lot. Free parking on the weekends! Almost every store gives military discounts since there is an Army Base nearby. Give yourself 3 days and 2 nights to really have a grasp and enjoy Savannah.
Atlanta - The capital of GA and the place to be! It is located about 100 miles north of Robins which takes about 2 ½ hours to drive, thanks to the good ol’ Atlanta traffic! There is an abundant amount of things to do and sightsee that I will talk about later in this post.
Owen’s Boarding House is one of my favorite mom and pop stores in WR and it's really close to the base for a quick lunch! Owen’s is an all-you-can-eat lunch-only southern restaurant, dig in those chicken wings! It’s about $10.50, cash only.
The Rookery, in downtown Macon, is one you’ll hear a lot of. It is an old southern/burger joint. The store has a fancy dining upstairs; The Dovetail, if you’re into that.
Martin's BBQ, I referenced it earlier as a good point to locate Robins AFB but it is also a popular BBQ!
WR really loves Mexican food, and so do I! Taco Shed is next to the Museum of Aviation, it is American Mexican food. Salsa’s which is a dining American Mexican restaurant. My Grandma’s Empanadas and Luis for more authentic Mexican food. Cuban Cafe sells pretty good Cuban food. Tacos and More, I wasn't a huge fan of it but one of the comments mentioned it and it does sell $1 tacos, try it out!
Wasn't a fan of Saigon Noodle in WR, its close to base, which is why I believe their portions are small for a Vietnamese place. Plus, the Pho soup has MSG!
Pho Saigon in Macon is great, however. Good portions, and no MSG in their soups!
Stir King is a nice American Chinese place which gives good portions. I am not a fan of the “Japanese” food in WR, better go to Atlanta for real sushi and ramen. Also… screw all of WR’s Hibachi restaurants.
I did not mention any corporate/franchise restaurants since you may already be familiar with them and only want to mention the mom n pop stores.
They’re also “Senior Airmen” dorms for Airmen who’ve stayed longer in the dorms. Essentially, a SrA dorm is a larger dorm with no suite-mate and no kitchen. If the dorms have no availability, Airmen with the longest TOS (Time-on-Station) will be allowed to leave early. You can ask regularly if the dorms are full and maybe you can leave ahead of others.
Certain circumstances can allow you to leave the dorms early such as being a mature age (like over the age of 30) or being married but your spouse is currently living elsewhere due to service, school, etc.
My personal experience: I lived in the dorms and I would describe the overall experience as “okay.” It can be hit or miss with a good suite-mate and your dorm might have mold in them... I didn’t though. Typically activities of dorm airmen include going clubbing, the gym, and/or playing video games. Overall, I enjoyed living in the dorms because of the access to network with other Airmen, not cooking my own food, because of the DEFAC, and friends were just close by.
I lived in Warner Robins after I moved off base from the dorms, and the area was okay. Generally speaking, the further you live off base, (and this goes for all military bases) the safer the environment becomes.
If you’re wanting to live in a nicer area and/or have kids. Look into living in cities Kathleen and/or Bonaire. The area and school system (like Houston County High School) is much nicer than the rest of the public school system.
Cities like Perry and Bryon have far commutes of at least 20 minutes but can be described as “rural” if like not knowing your neighbors.
IMO, please do yourself a favor and do not live off or near Green St. (Hint. It’s right off Green St Gate!) I would also not recommend living in Macon. Imma be real and say Macon is pretty ghetto in most parts of the city (unless you live off Zebulon Rd) and the commute to work is going to be at least 20 mins to work. Edit: Forgot to mention Riverside in Macon. It is still relatively new and the area is nice and so are the neighborhoods. The Riverside Mall is an outdoor mall, very safe and clean. Don't go to the Macon Mall, however.
Essentially, South-West of Warner Robins is the best place to live. Where Feagin Mill Rd and Highway 96 is.
Off Base Housing community is called Huntington Chase, it’s ghetto from what my co-workers have told me as they’ve gunshots go off frequently and cars are breaking into. Off-Base housing is open to civilians and not just military.
Coca Cola Factory - Entry is free for military (does not include dependents) and it is a nice place to go on a date. Try flavors of coke from around the world!
Aquarium - IMO, the experience felt it was geared towards children, I would only pay during special military days because $33 is not worth the visit!
Atlanta Zoo - Never been but it is another sight seeing opportunity.
Dragon Con - A.K.A. “Comic Con of the East.” Where 80k of your “best friends” come meet in a 4-day comic/pop culture/movie/ convention which spans across 5 hotels! Most people get turned off when they hear “comic” as they associate this con with sweaty nerds… Well, they aren’t wrong! But I can guarantee you’ll be missing out if you did not attend this con at least once while you’re at Robins. Even if you don’t love comics, movies, anime, or pop culture (who doesn’t like at least one of the 4?) you can open drink in public for the duration of the con! It is always during Labor Day weekend every year. And if you don’t mind paying for the price of a host hotel, they’re worth it. Good luck because they get booked fast!
Anime Weekend Atlanta - An Anime Con that specializes on having Japanese pop/rock stars to play in the con!
MomoCon - An Anime Con that specializes in 24hour gaming/arcade gaming for the entire weekend!
Ponce City Market - A hipster food and shopping market that used an abandoned factory as their shopping district. Please do yourself a favor and park in Ponce City Market’s parking and not try to get “free” parking from the plaza across the street. You’ll get a “boot” on your car when you come back and have to pay a fine… Ask me how I figured that out...
Caffeine and Octane - A huge car meet in Atlanta that meets regularly.
Mardi Gras: The drive to Louisiana is about 6 hours but I know some Airmen who made the trip to be there for Mardi Gras.
Florida: The drive will take at least 3 hours to cross the Florida border. Florida is fun, do I need to say more?
Professional Sports: Altanta Hawks, Braves, and Falcons! Look for special discounts near Veterans days like Hoops for Troops. The Falco
Don’t forget to check the ITT office for free or reduce price activities for “single Airmen!” Seriously, I’ve gone skydiving, deep sea fishing, paintballing, etc for free or reduced prices! 50% of Disney Park passes!
Obviously, there are more things to do than the list I provided, DYOR and maybe you’ll find a place and/or hidden gem you’ll love!
A lot of your co-workers will most likely talk crap about Robins. Well, they’re probably the same salty Airmen who put Robins AFB, 9th, on their dream sheet and how trying to figure out how Eglin or Macdill wasn’t chosen even though it was #1 and #3 on their dream sheet. But even if they aren’t those types of Airmen.... Robins is one of those “what you make of it bases.”
You. Yes you, Airman, have to create your own experiences and be willing to leave your dorm and not be a dorm rat to make memories at Robins. This base isn’t centrally located to anything known for “fun” like all the bases in San Antonio, all Florida bases, Travis, Keesler and the casinos, etc. Even that hot A1C still has to make an effort to venture out and explore new roads and can’t rely on other people to do it for them.
“Robins-ism.” For whatever reason, “Robin-ism” is basically AFIs and the proper order of how to do things in the Air Force... does not apply the same for Robins. You’ll hear a lot of “that’s not how we did that at my last base.” People say it's because the amount of civilians outnumbers the military 3:1. And with that, if the civilians don’t like the AFI/protocol, it will slowly but surely die out and a “Robin-ism” method of how to do things soon takes over. I am not blaming the large civilian population, it is just what Airmen accept is the reason why some people on this base can be lazy at times.
Allergies. If you never experienced allergies or have in the past. Well, Warner Robins has a surprise for you... Seriously, you could potentially suffer from bad allergies.
